MongoDB, Inc. (NASDAQ: MDB) is the world's most popular non-relational database and the developer data platform of choice for modern application development. MongoDB Atlas — the fully managed cloud database service — has driven the company's transformation from an on-premises database vendor to a cloud-native platform generating over $2B in annualised revenue. MongoDB's document model, developer-friendly APIs, and Atlas's multi-cloud deployment capability have made it the default choice for new application development across thousands of enterprises.

MongoDB has its largest engineering hub outside the US in Bangalore, with engineers working on the MongoDB server, Atlas, Realm (mobile sync), Atlas Search, Atlas Vector Search, and the developer experience tooling. MongoDB India is a core engineering organisation, not a support satellite — the Bangalore team owns major product areas. Indian engineers at MongoDB receive RSU grants in MDB stock (NASDAQ-listed), administered via E*TRADE from Morgan Stanley.

Vesting schedule: MongoDB RSUs follow 4-year quarterly vesting with a 1-year cliff — 25% at the 12-month mark, then 6.25% per quarter for the remaining 12 quarters. This is a standard Silicon Valley 1-year cliff structure.

Atlas growth: MongoDB Atlas — cloud-hosted, managed MongoDB — now represents the majority of revenue. Atlas's multi-cloud capability (deploy across AWS, Azure, GCP) and Vector Search feature (for AI similarity queries) have made it a preferred platform for AI-powered application development.

Vector Search and AI: MongoDB Atlas Vector Search enables similarity search on embeddings directly in the database. This positions MongoDB as a core component of AI application stacks — alongside LLM APIs and orchestration layers. The AI application buildout has driven meaningful Atlas adoption.

No dividend: MongoDB does not pay dividends. No Form 44 filing required for MongoDB holders.

High volatility: MDB's stock has historically swung 30–50% within a 12-month period. Engineers should factor this into hold/sell decisions, particularly around the 24-month LTCG eligibility window.

Indian tax treatment

At vest:

  • Perquisite = shares released × MDB closing price on vest date × SBI TTBR
  • TDS deducted by MongoDB India Pvt. Ltd. payroll
  • Disclosed in Form 12BA; reflected in Form 16 Part B
  • Vest dates: March 1, June 1, September 1, December 1 (may move to next business day if weekend/holiday)

At sale:

  • STCG (< 24 months from vest date): slab rate (up to 35.88% at 30% bracket + 15% surcharge + 4% cess)
  • LTCG (≥ 24 months): 12.5% under Section 112, plus 4% cess

Quarterly vesting = 4 vest events per active grant per year. With a new-hire grant plus annual refresh grants, MongoDB engineers typically have 8–12 vest events per year once vested into multiple grants.

Cliff vest is large: The 1-year cliff releases 25% of the grant at once — a large single perquisite event in year 1. Budget for this in advance tax planning.

Cross-check method: Export E*TRADE transaction history (Calendar Year view, January–December). For each vest event: verify (a) MDB closing price on vest date against E*TRADE's "Release Price", (b) number of shares released gross and net of sell-to-cover, (c) corresponding perquisite amount in Form 12BA.

March 1 vest date: The March 1 vest date falls within the Indian financial year (April 1 – March 31 of the next year). For FY 2025-26, the March 1, 2026 vest is included in the April 2025–March 2026 financial year. For Schedule FA, it falls in calendar year 2026 (the following year's Schedule FA).

Multiple lots: With quarterly vesting across multiple grants, MongoDB engineers accumulate many small lots. Each lot has its own cost basis (vest-date FMV × SBI TTBR). For Table A3, you can aggregate by ticker symbol, but for capital gains tracking (Schedule CG), each lot's holding period and cost basis matter individually.

LTCG planning for MDB holders

MongoDB's volatility creates both LTCG planning opportunities and risks:

2022–2023 trough lots ($160–$250 cost basis):

  • Crossed or approaching 24-month LTCG eligibility
  • At current ~$300: $50–$140 per share gain taxable at 12.5% LTCG

Tax-loss harvesting for underwater lots:

  • Engineers with lots vested during 2021 at $400–$590 may have large unrealised losses
  • These STCG losses (if < 24 months) or LTCG losses (if ≥ 24 months) can be harvested
  • STCG losses offset both STCG and LTCG gains; LTCG losses offset only LTCG gains
  • India has no wash sale rule — you can sell and repurchase MDB the same day without losing the tax loss

High-volatility strategy: MongoDB frequently reports results that move the stock 15–25% in a single day around earnings. Selling immediately before earnings to lock in LTCG (if the lot is ≥ 24 months) eliminates earnings risk. Re-evaluate after the print.

Advance tax planning

MongoDB's fixed quarterly vest dates (March 1, June 1, September 1, December 1) align closely with advance tax deadlines:

Cliff year planning: In the year of the 1-year cliff, the June 1 (or March 1, depending on grant date) cliff vest is 4x larger than subsequent quarterly vests. This single event can drive significant TDS in payroll. Verify your employer's payroll system annualises this correctly.

US estate tax

MDB shares held in E*TRADE (US broker) are US-situs assets. Non-resident aliens face a $60,000 exemption; estate tax of up to 40% applies above that threshold.

At $300/share and 500 accumulated shares: ($150,000 − $60,000) × 40% = $36,000 estate tax exposure. MongoDB's high per-share price amplifies estate tax exposure even for smaller share counts.

Mitigation: when diversifying MDB proceeds, consider UCITS ETFs (CSPX, VWRA) listed on the London Stock Exchange — non-US-situs assets.
